TERMS & CONDITIONS – WEBSITE DESIGN & DEVELOPMENT SERVICES
1. Scope of Services
Website design and development services will be provided strictly as defined in the approved quotation, including pages, features, functionality, and revisions. Any additional requirements beyond the agreed scope shall be treated as change requests and quoted separately upon mutual agreement.
2. Project Timeline
Project timelines are estimates and depend upon the timely provision of content, feedback, approvals, and required assets by the client. Delays caused by the client may result in corresponding extensions to the delivery timeline. The service provider shall not be held responsible for delays arising from client-side dependencies.
3. Payment Terms & Clearance
Website development projects are billed on a milestone basis:
• 50% advance payment is required upon quotation confirmation.
• The remaining 50% is payable upon final delivery and handover of the website.
All work will commence only after receipt and clearance of the advance payment in the service provider’s bank account. Any delay in payment clearance will proportionally shift the project start date.
4. Content & Product Data Responsibility
Unless explicitly included in the approved quotation, the client is responsible for providing all website content and product data, including but not limited to text, product descriptions, prices, variants, images, videos, and other media.
Product data accuracy and completeness remain the client’s responsibility. Uploading of products into the website is the responsibility of the client unless explicitly agreed as part of the scope. The service provider shall provide product structure setup and guidance or training for product management.
5. Website Graphics
Website design services include the creation of basic, website-specific visual elements such as homepage banners, section graphics, icons, and layout visuals, created solely for on-site use and visual presentation purposes.
6. Design Ownership & Usage Rights
All website-specific graphics and visual elements created as part of the project are provided for use within the delivered website only. Editable or source design files are not included and shall not be shared unless explicitly stated in the approved quotation.
7. Tracking, Analytics & SEO
Tracking tools, analytics setup, Meta Pixel installation, conversion tracking, or advertising-related configurations are not included in website-only projects unless explicitly stated in the approved quotation or covered under a separate digital marketing or tracking service.
Search engine optimization (SEO), keyword research, ranking improvements, traffic generation, and search performance are not included as part of website design and development services unless explicitly agreed in writing.
8. Platform, Hosting & Third-Party Services
Website hosting, domain registration, Shopify subscription fees, email services, premium themes, plugins, applications, and third-party tools are not included unless explicitly stated in the approved quotation. All such services shall be purchased, owned, and maintained by the client under their respective licenses.
9. Website Migration from Existing Platforms
Migration of data from existing platforms (including but not limited to WooCommerce or other CMS/e-commerce systems) is not included by default and may be offered as an additional paid service if explicitly agreed.
Where migration services are provided, they shall be performed on a best-effort basis using available tools and data exports. The client remains responsible for:
• Creating and maintaining backups of the existing platform
• Verifying the accuracy, completeness, and correctness of migrated data
• Product descriptions, pricing, images, and historical data
The service provider shall not be held responsible for data loss, inaccuracies, missing content, SEO impact, or issues originating from the legacy platform or third-party systems.
10. Revisions & Approvals
The quotation includes a limited number of revisions as specified. Additional revisions or scope changes beyond the agreed limit shall be charged separately. Approval of the final website shall be deemed acceptance of the project deliverables.
11. Warranty & Maintenance
Post-handover maintenance, updates, backups, security, performance optimization, or technical support are not included unless covered under a separate maintenance or support agreement.
12. Termination
In the event of project termination after commencement, advance payments are non-refundable. Work completed up to the termination date, as determined based on agreed deliverables and service provider records, shall be invoiced accordingly.
13. Limitation of Liability
In the event of any claim or dispute arising from the website design or development services, the service provider’s maximum liability shall be strictly limited to the total amount actually paid by the client under the applicable project. Under no circumstances shall the service provider be liable for indirect, incidental, consequential, or loss-of-profit damages, including loss of data or business interruption.
14. Governing Law
This agreement shall be governed by and construed in accordance with the applicable laws of the jurisdiction of the service provider.
