TERMS & CONDITIONS – DIGITAL MARKETING SERVICES
(SUBSCRIPTION & SINGLE-MONTH ENGAGEMENTS)

1. Scope of Services
Digital marketing services shall be provided strictly in accordance with the selected service package and the approved quotation. The scope, level of service, creative involvement, optimisation effort, and reporting depth vary by package and engagement type (subscription or single-month).

Any services requested outside the agreed scope shall be quoted and billed separately upon mutual written agreement.

2. Nature of Engagement
Digital marketing services may be provided under either of the following engagement types, as expressly stated in the approved quotation:

a) Subscription Engagement 
Services are provided on a recurring monthly subscription basis and continue until terminated in accordance with these terms.

b) Single-Month Engagement 
Services are provided for one (1) full calendar month only and do not create any ongoing subscription, renewal, or continuation obligation.

The applicable engagement type shall be clearly specified in the approved quotation.

3. Service Start Date

For both subscription and single-month engagements, services shall commence only after full payment has been received and cleared in the service provider’s bank account (“Service Start Date”).

No setup, campaign activity, optimisation, or advertising work shall be initiated prior to payment clearance.

Subscriptions are typically scheduled to commence from the 1st day of a calendar month. However, based on mutual agreement, a subscription may commence on any other agreed date, in which case the first billing period shall be prorated accordingly.

For single-month engagements, any delay in payment or bank clearance shall proportionally shift the Service Start Date.

For subscription engagements, any delay in payment or bank clearance may delay the commencement of services by the service provider, for which the service provider shall not be held responsible.

Nevak may, at its discretion and subject to internal approval, commence services prior to receipt of payment as a goodwill gesture.

4. Billing, Prepayment & Invoicing

All digital marketing services are provided strictly on a prepaid basis, unless otherwise agreed in writing.

For subscription engagements:
- Upon acceptance of the quotation, the service provider shall issue an invoice for full month’s service charges, unless otherwise stated in the approved quotation.
- If the subscription commences part-way through a calendar month, the initial billing period may be prorated. Thereafter, billing shall align with calendar months unless otherwise stated in the approved quotation.

For single-month engagements:
- A single advance invoice shall be issued for the full service period.
- Services shall be provided for one complete calendar month from the Service Start Date unless otherwise stated in the approved quotation.

5. Advertising Spend
Advertising spend is not included in the service fee and shall be paid directly by the client to the relevant advertising platforms (including but not limited to Meta, Facebook, Instagram, Google, or similar platforms), unless explicitly agreed otherwise in writing.

The service provider does not guarantee platform approvals, delivery, reach, results, or performance, as these are governed by third-party platform policies and algorithms.

6. Account Access Requirements
To perform services effectively, the client must provide the required administrative or working access to advertising accounts, business managers, pixels, pages, and associated assets.

Any delay, restriction, limitation, or withdrawal of access may impact campaign setup, optimisation, timelines, or performance, for which the service provider shall not be held responsible.

7. Creatives & Usage Rights
Ad creatives produced under digital marketing services are created solely for use within paid advertising campaigns managed by the service provider during the active service period.

Editable or source files are not included and shall not be shared unless explicitly agreed in writing. Creatives are not licensed for reuse, redistribution, or use outside the managed advertising campaigns unless otherwise stated in the approved quotation.

8. Platform Policies & Account Actions
The service provider shall not be responsible for any suspension, restriction, disabling, or enforcement actions taken by advertising platforms against advertising accounts, pages, business managers, or related assets.

Where reasonably possible, the service provider may assist with appeal or review submissions; however, reinstatement decisions rest solely with the respective platform, and no guarantees can be provided.

9. Client Responsibilities
The client is responsible for providing timely approvals, accurate information, required assets, access credentials, and necessary cooperation.

Delays in approvals, inputs, or responses may impact campaign timelines, delivery, or performance, for which the service provider shall not be held responsible.

10. Performance Disclaimer
While professional expertise, industry best practices, and reasonable efforts will be applied, the service provider does not guarantee specific performance outcomes, including but not limited to leads, conversions, sales, reach, or return on ad spend (ROAS).

Performance is subject to market conditions, competition, audience behaviour, platform algorithms, and external factors beyond the service provider’s control.

11. Reporting
Campaign performance reporting shall be provided in accordance with the selected package and engagement type, as specified in the approved quotation. Reporting format, depth, and frequency vary by package.

12. Termination (Subscription Engagements Only)
For subscription engagements, either party may terminate the service by providing a minimum of thirty (30) days’ written notice.

Termination shall take effect at the end of the applicable billing cycle. Subscription fees already paid for the active billing period are non-refundable.

Single-month engagements automatically conclude at the end of the agreed service period and are not subject to termination notice requirements.

13. Confidentiality
All client data, access credentials, and business information shared during the engagement shall be treated as confidential and shall not be disclosed to third parties except where required for service delivery or by law.

14. Limitation of Liability
The service provider’s total liability arising from digital marketing services shall be strictly limited to the total fees paid by the client for the applicable service period.

Under no circumstances shall the service provider be liable for indirect, incidental, consequential, or loss-of-profit damages.

15. Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws applicable in the jurisdiction of the service provider.
